SEC regulations update: What you need to know about implementing the new rules on executive compensation and e-proxy/notice and access among other things

Topic

SEC regulations continue to have a profound effect on how publicly-traded companies operate. And company executives and investor relations officers have devoted substantial time and resources implementing Regulation Fair Disclosure, Sarbanes Oxley and Executive Compensation rules, to name a few. So what’s new at the SEC and what should we be doing to prepare for new rules as well as other proposals in the works?

Presenter

Heller Ehrman attorney, David Wilson, will present an SEC Update for the Seattle NIRI luncheon on Tuesday, October 9. Wilson, who specializes in corporate finance, securities and corporate governance, will discuss a number of SEC developments including mandatory e-proxy rules and when they will be phased in for accelerated filers and other issuers. Wilson will also provide a report card on how companies implemented Executive Compensation rules and what they can do to improve, and will cover other proposals the SEC is focused on. Wilson's practice consists of representing public and private companies on securities and governance matters and mergers and acquisition transactions. His current public company clients include Washington Mutual, Inc., Costco Wholesale Corporation, Seattle Genetics, Inc. and Cell Therapeutics, Inc.
